Terms and Conditions for My HealthCell Ltd
OVERVIEW
This is a legally binding document governing the provision of the My HealthCell Software from My HealthCell Ltd, a company incorporated and organized under the laws of the Republic of Cyprus, with Registration Number: 381397, and having its Registered Address at 4 Viziinou, Nicosia, Cyprus; to You via our Website and Mobile Application.
By accessing or using My HealthCell, You automatically accept the below provisions which constitute the Terms and Conditions and You are legally bound by them.
Read this document very carefully and together with our Privacy Policy (www.myhealthcell.com/en/privacy).
If you do not agree with these Terms, you should not use our platform.
1. Introduction
Welcome to My HealthCell Platform. The Platform is operated and provided to You, the person who uses the Platform as further defined below (the “User” and/or the ‘’Health care Professional’’) by My HealthCell Ltd, a company incorporated and existing under the laws of the Republic of Cyprus (referred to as “We” and/or “Us”) subject to the provisions of these Terms and Conditions. These Terms and Conditions ('Terms') govern your use of our platform, including our website and mobile application, which facilitate booking appointments with healthcare professionals.
2. Definitions
- “Platform”: The My HealthCell website and mobile application.
-”User/s” or You: The patient/s or other individuals who use our Platform (including making online bookings or communicating with Health Professionals), or who otherwise receive communications from their Health Professionals via our Platform.-
-“Healthcare Professional or You”:. The individual medical providers (licensed where applicable), employees, and contractors of health or medical clinics, hospitals, or other healthcare provider organizations who are registered on the Platform.
- “Content”: All information, text, images, videos, and other materials provided on the Platform.
3. Services Provided
My HealthCell offers the following services*:
- Appointment Booking: Users can search for and book appointments with healthcare professionals.
- Healthcare Directory: A comprehensive directory of healthcare professionals including their specialties, locations, and availability.
- Appointment Management: Tools for users to view, modify, or cancel their appointments.
*My HealthCell does not engage in the practice of medicine. Healthcare Professionals are not employed by us.
4. User Responsibilities
4.1 Account Creation You are not obligated to register with My HealthCell in order to visit our Website. However, you must register on the Platform to access the Services. When you register, you are required to create an account by entering your name, email address, password and certain other information collected by My HealthCell (collectively “Account Information”) In order to create an Account, you must be at least 18 years of age.
- Accuracy: You must provide accurate and complete information during registration and keep it up to date. My HealthCell is not responsible for any misleading information provided and its impact on the services offered on the Platform. Providing false contact information of any kind may result in the termination of your account. You are responsible to provide accurate and complete information. - Security: You are responsible for maintaining the confidentiality of your account login credentials and for all activities under your account.
4.2 Use of the Platform
- Personal Use: The Platform is for personal, non-commercial use unless you are a healthcare professional using it for managing appointments with patients. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
- Compliance: You agree to use the Platform in compliance with all applicable laws and regulations. You are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and use the Platform. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register on our Platform. We may block your email address and Internet protocol address to prevent further registration.
5. Healthcare Professional Responsibilities
5.1 Registration
- Accuracy: Healthcare professionals must provide accurate, complete, and current information about their practice and services. You must provide accurate and complete information during registration and keep it up to date. My HealthCell is not responsible for any misleading information provided and its impact on the services offered on the Platform. Providing false contact information of any kind may result in the termination of your account. You are responsible to provide accurate and complete information.
Security: Healthcare professionals are responsible for maintaining the confidentiality of their account login credentials and for all activities under their account.
- Licensing: Healthcare professionals must maintain the appropriate licenses and certifications required to provide their services.
5.2 Service Delivery
- Quality of Care: Healthcare professionals are responsible for the quality and legality of the services they provide to users.
- Compliance: Healthcare professionals must comply with all relevant medical laws and ethical standards. Healthcare professionals are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may suspend, disable, or delete an account (or any part thereof) if we determine that the Healthcare professional has violated any provision of this Agreement or that their conduct or content would tend to damage our reputation and goodwill. If we delete a Health Professional’s account for the foregoing reasons, they may not re-register on our Platform. We may block their email address and Internet protocol address to prevent further registration.
6. Fees and Payments
6.1 Platform Use
- For Users: Booking appointments through My HealthCell is free during the initial release period. Users will pay healthcare providers directly for the services rendered.
- For Healthcare Professionals:
- Current Period: Registration and use of My HealthCell are free for healthcare professionals during the initial release period.
- Future Subscription: A subscription fee may apply after this period. Details will be communicated in advance and will include terms on service continuation and fees.
6.2 Insurance and Payments
- Users are responsible for verifying the costs of healthcare services and their insurance coverage. My HealthCell does not process insurance claims or payments.
7. Appointments Cancellations and Refunds
7.1 User Cancellations
- Procedure: Users can cancel or reschedule appointments directly through the Platform, subject to the policies of the healthcare professional.
- Fees: Users should be aware of any cancellation fees that may apply as per the healthcare professional's policy.
7.2 Healthcare Professional Cancellations
- Notice: Healthcare professionals should provide adequate notice to users if they need to cancel or reschedule an appointment.
7.3 Refunds
- Direct Resolution: Any disputes regarding refunds for services must be resolved directly between the user and the healthcare professional.
8. Privacy and Security
8.1 Data Collection and Use
- User Personal Information: My HealthCell collects and processes personal data, including but not limited to contact information, medical history, and appointment details, in accordance with our Privacy Policy (www.myhealthcell.com/en/privacy). This data is used to facilitate appointment booking and provide personalized services.
- Healthcare Professional Information: For healthcare professionals, we collect details such as practice information, specialties, and appointment availability in accordance with our Privacy Policy (www.myhealthcell.com/en/privacy)
8.2 Data Protection
- Encryption: All personal and sensitive data transmitted through the Platform is encrypted using industry-standard encryption protocols. This ensures that any data you share is securely protected during transmission.
- Unique Identification: To enhance privacy and security, both users and healthcare professionals are identified within the My HealthCell system by unique IDs. This anonymizes personal data to minimize the risk of unauthorized access.
8.3 Access and Security Measures
- Authentication: Users must use secure login credentials to access their accounts. Two-factor authentication (2FA) may be required for additional security.
- Data Storage: Personal data is stored in encrypted form on secure servers, with access restricted to authorized personnel only.
8.4 Third-Party Access
- Limited Sharing: My HealthCell does not share personal data with third parties except as necessary to provide our services or comply with legal obligations. Any third parties with access to data are subject to strict data protection agreements.
- Anonymization: When data is shared for analytical or research purposes, it is anonymized to protect user identities.
8.5 User Rights
- Access: You have the right to access your personal data held by My HealthCell.
- Correction: You can request correction of any inaccuracies in your personal data.
- Deletion: You may request deletion of your personal data, subject to certain legal or operational constraints.

8.6 Breach Notification
- Incident Response: In the unlikely event of a data breach, My HealthCell will promptly notify affected users and take appropriate measures to mitigate the breach and prevent future incidents.
9. Intellectual Property
9.1 Ownership
- Platform Content: All content provided on the Platform is owned by or licensed to My HealthCell.
9.2 User Content
- License: By posting or submitting content to the Platform, you grant My HealthCell a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute your content.
10. Disclaimers and Limitation of Liability
10.1 No Warranty
- My HealthCell provides the Platform on an "as-is" and "as available" basis without warranties of any kind.
10.2 Limitation of Liability
- To the maximum extent permitted by law, My HealthCell is not liable for any direct, indirect, special, incidental, punitive, exemplary or consequential damages (including, without limitation, loss of business, revenue, profits, goodwill), arising out of your use of the Platform whether or not My HealthCell has been warned of the possibility of such damages or could have reasonably foreseen such damages.
11. Indemnification
- You will indemnify and hold us and where deemed appropriate our officers, directors, agents, subsidiaries, joint ventures, and employees; harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of the provisions herein or your violation of any law or the rights of a third party, pursuant to these Terms and specifically for any claim, action or proceeding that You or any third party acting on Your behalf infringes/ed or has acted in any matter which has misappropriated the intellectual property of a party which is not part to these T&Cs due to any prohibited action herein or any manner not reasonably expected. Where there is a dispute between a Health Professional and a Patient, or between a Health Professional and a party which is not part of the provisions herein as a result of negligence and/or misconduct of any kind, we shall have no liability, responsibility or otherwise held accountable for any claim, demand (actual and consequential) of any kind and nature, known and unknown, arising out of or in any way connected with the use of Platform.
12. Changes to Terms
- My HealthCell may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the Platform. If you disagree with these Terms, your sole remedy is to discontinue your use of the Platform. Continued use of the Platform following such changes constitutes acceptance of the new Terms.
13. Severability
- All rights and restrictions contained in these Terms may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render these Terms illegal, invalid or unenforceable. If any provision or portion of any provision of these Terms shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.
14. Governing Law and Dispute Resolution
- Any dispute claim, dispute or controversy arising under, out of or in connection with these Terms between the Parties shall be resolved via an alternative dispute resolution, starting with mediation and including, if necessary, a final and binding arbitration. Where the dispute is not resolved and Parties forward with arbitration, an arbitrator must be agreed by both Parties within fifteen (15) days while they use reasonable endeavours in good faith to resolve the dispute. These Terms will be governed by and constructed in accordance with the laws and regulations of the Republic of Cyprus and any disputes relating to provisions herein shall be subject to the non-exclusive jurisdiction of the courts of the Republic of Cyprus.
